Introduction
These Sales Terms & Conditions govern the supply of products and services provided by SS Ship Supply & Engineering ("the Company") to customers, vessel owners, operators, managers, agents and other business clients.
Placing an order, accepting a quotation or requesting services constitutes acceptance of the applicable terms set out below, subject to any separately agreed written contract between the Company and the Customer.
Definitions
Key terms used throughout this document.
- “Company”
- Means SS Ship Supply & Engineering.
- “Customer”
- Means the person, company, vessel owner, operator, manager, agent or organization purchasing products or services.
- “Products”
- Means ship stores, provisions, spare parts, marine equipment, lubricants, fuel-related products and other goods supplied by the Company.
- “Services”
- Means ship chandlery, bunker coordination, marine repair, engineering, technical support, agency services, diving, cleaning, waste removal and other maritime services.
- “Vessel”
- Means the ship, vessel, craft or marine unit for which products or services are requested.
Quotations & Orders
- Quotations are subject to availability and operational conditions.
- Prices may change depending on market conditions, supplier costs, transportation, port charges and other applicable expenses.
- A quotation does not constitute a final order until confirmed by the Company.
- Orders should include accurate vessel name, IMO number where applicable, port/location, delivery requirements and requested delivery date.
- The Company may request additional information before confirming an order.
- Any special requirements should be communicated before order confirmation.
Prices & Payment Terms
- Prices are based on the quotation issued by the Company.
- Unless otherwise agreed, prices may exclude applicable taxes, duties, port charges, transportation or other third-party costs.
- Payment terms will be specified in the quotation, proforma invoice or written agreement.
- Customers are responsible for making payment within the agreed period.
- Late payments may result in additional charges or suspension of services where legally and contractually permitted.
- Currency and payment method will be specified in the applicable quotation or agreement.
Delivery & Port Operations
- Delivery schedules are subject to vessel arrival, port access, weather, customs, immigration and other operational conditions.
- Customers must provide accurate vessel and delivery information.
- Delays caused by port restrictions, vessel movements, weather, customs or circumstances outside the Company's reasonable control may affect delivery times.
- Any additional transportation, waiting time, launch/barge charges or port-related costs may be charged where applicable.
- The Company will make reasonable efforts to coordinate timely delivery.
Product Quality & Inspection
The Company will make reasonable efforts to supply products according to the specifications confirmed in the quotation or order.
Customers or their authorized representatives should inspect delivered products where appropriate and report visible shortages, damage or discrepancies within a reasonable period. For perishable products, storage and handling conditions should be maintained appropriately after delivery.
Bunker Supply Terms
- Fuel specifications will be based on the agreed quotation and applicable supply documentation.
- Delivery is subject to availability, port regulations and operational conditions.
- Quantity and quality documentation will be provided where applicable.
- Sampling and testing procedures may follow applicable industry practices and the agreed supply terms.
- Customers must ensure safe access and operational readiness for bunker delivery.
- Any specific bunker requirements must be communicated before confirmation.
Marine Repair & Engineering
- Scope of work will be based on the agreed quotation or work order.
- Additional work outside the agreed scope may require separate approval.
- Service schedules depend on vessel availability, access, working conditions and required materials.
- Customers must provide reasonable access and necessary vessel information.
- Spare parts and third-party materials may be charged separately where applicable.
- Completion reports may be provided after the service.
Cancellation & Order Modification
- Cancellation requests should be submitted as early as possible.
- Cancellation charges may apply depending on the stage of preparation, procurement, mobilization or delivery.
- Customized, specially ordered or already dispatched products may be subject to specific cancellation conditions.
- Changes to confirmed orders may affect pricing and delivery schedules.
- Any cancellation or modification will be handled according to the applicable quotation or written agreement.
Returns, Shortages & Claims
- Customers should notify the Company promptly regarding shortages, damaged products or incorrect deliveries.
- Claims should include relevant supporting information such as delivery documents, photographs, product details or other evidence where applicable.
- Returns require prior approval from the Company.
- Customized, used, opened or perishable items may not be eligible for return where legally permitted.
- The Company will review claims fairly based on the circumstances and applicable agreement.
Limitation of Liability
The Company will not be responsible for losses caused by circumstances beyond its reasonable control, subject to applicable law and the specific written agreement in place with the Customer. Examples of such circumstances include, without limitation:
- Port closures
- Severe weather
- Vessel delays
- Government restrictions
- Customs delays
- Supplier disruptions
- Transport interruptions
- Other force majeure events
Force Majeure
The Company shall not be considered in breach of these terms for delays or inability to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, war, strikes, port closures, government restrictions, epidemics, transportation disruptions, supplier failures or other similar events.
Confidentiality
Commercial information, quotations, pricing, vessel information, operational information and other confidential business information exchanged between the Company and Customer should be treated confidentially, except where disclosure is required by law or necessary for service delivery.
Intellectual Property
Company logos, trademarks, website content, documents, graphics and other intellectual property belonging to SS Ship Supply & Engineering may not be reproduced or used without appropriate authorization, except where permitted by law.
Governing Law
These Sales Terms & Conditions shall be interpreted and governed in accordance with the applicable laws agreed between the Company and Customer, subject to the terms of any applicable written contract.
Changes to These Terms
SS Ship Supply & Engineering may update these Sales Terms & Conditions from time to time. Updated terms will be published on the website or communicated through applicable business documents where appropriate.
